These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Ivy Socrates (“Company,” “we,” “us,” or “our”), governing your access to and use of our website, digital academic resources, strategic consulting materials, and premium educational software tiers (collectively, the “Services”).
Please read these Terms carefully. By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you are expressly prohibited from using our Site and must discontinue use immediately.
1. ELIGIBILITY AND PARENTAL GUARDIANSHIP
Our Services are designed for high school students navigating college prep and advanced placement courses.
- Minors: Users under the age of 18 (but at least 13 years of age) may navigate the Site and utilize our free academic resources, provided they do so under the direct supervision of a parent or legal guardian.
- Commercial Transactions: The registration of premium accounts, access to paid software tiers, and execution of any purchase transactions must be performed exclusively by a parent, legal guardian, or an individual who has reached the age of majority (18 years old). By executing a transaction, you warrant that you are of legal age to form a binding contract.
2. INTELLECTUAL PROPERTY AND USAGE LICENSES
A. Ownership of Materials
All source code, software architecture, diagnostic tool algorithms, website layouts, databases, text, curriculum designs, AP study blueprints, and graphics on the Site (collectively, the “Content”), as well as our brand trademarks and logos, are owned by or licensed to Ivy Socrates. They are protected under international copyright, trademark, and intellectual property treaties.
B. Limited Personal License
Subject to your continued compliance with these Terms, Ivy Socrates grants you a non-exclusive, non-transferable, revocable, personal license to:
- Access and navigate the Site.
- Download, view, and print permitted copies of your purchased digital study resources solely for your own personal, non-commercial educational use.
C. Strict Prohibitions
You are explicitly prohibited from:
- Republication, redistribution, sale, or sub-licensing of any Ivy Socrates Content to third parties, including uploading materials to shared student drives, public forums, or AI training models.
- Decompiling, reverse-engineering, or scraping any of our web-based diagnostic or calculation software tools.
3. COMMERCIAL LAYER: MERCHANT OF RECORD ARCHITECTURE
All financial transactions, premium tier software provisions, and digital product sales on ivysocrates.com are handled entirely by an external Merchant of Record (“MoR”), such as Paddle or Lemon Squeezy.
- The Sales Contract: When you purchase an academic resource or software subscription, you are entering into a direct retail contract with the MoR. The transaction is governed entirely by the MoR’s checkout terms of sale and refund policies.
- Decoupled Liability: Ivy Socrates does not capture, route, or store financial data. Any billing discrepancies, chargebacks, international transaction fees, or payment processing errors fall strictly within the scope of the MoR’s administrative domain.
4. SOFTWARE SEED DISCLAIMER AND SERVICE AVAILABILITY
Our premium diagnostic tools and study interfaces are self-hosted on enterprise infrastructure. While we maintain a robust, secure tech stack, all web applications are provided on an “AS IS” and “AS AVAILABLE” basis.
- We do not guarantee that our software interfaces will be completely free of technical bugs, data latency, or periodic server maintenance interruptions.
- We reserve the right to modify, update, or temporarily take down specific calculation tools or modules at any time to preserve platform performance without liability to you.
5. GENERAL EDUCATIONAL DISCLAIMER
Ivy Socrates provides high-quality educational blueprints, strategic consulting templates, and diagnostic metrics. However, we do not guarantee specific academic outcomes, precise test scores, or college admission results.
The performance of a student relies entirely on independent variables outside our administrative scope. Our tools are structural aids, not a guarantee of institutional placement or standardized scoring benchmarks.
6. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable global law, Ivy Socrates, its operating leads, or its direct consultants shall not be liable to you or any third party for any indirect, consequential, incidental, or punitive damages—including lost profits, lost data, or study disruptions—arising out of your use or inability to use our software tools, even if we have been advised of the possibility of such damages.
Our cumulative liability for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the net amount paid by you to our designated MoR for our services during the three (3) month period preceding the claim.
7. GOVERNING LAW AND RESOLUTION OF DISPUTES
These Terms and your use of the Services are governed by and construed in accordance with the laws of Kenya, without regard to conflict of law principles.
Any legal action or dispute arising out of these terms shall be brought exclusively before the competent courts of Nairobi, Kenya. However, because our services are exported globally, we reserve the right to seek injunctive relief or enforce intellectual property protection vectors in any international jurisdiction where a breach occurs.
